These Terms of Service ("Terms") govern your access to and use of the AutoNest software platform and related services (collectively, the "Service") provided by AutoNest, located at Ristiku tn 62, 10317 Tallinn, Estonia ("AutoNest", "we", "us", or "our"). By creating an account, accessing, or using the Service, you confirm that you have read, understood, and agree to be bound by these Terms. If you are accepting on behalf of an organisation, you represent that you have the authority to do so.
If you do not agree to these Terms, you may not use the Service.
AutoNest provides a cloud-based workflow automation and orchestration platform that enables users to connect software tools, design automated workflows, and manage execution of automated tasks ("the Service"). Features include a visual workflow builder, an API integration framework, scheduling and trigger management, a data transformation engine, execution analytics, and team collaboration tools. The features available to you depend on your subscription plan.
AutoNest reserves the right to modify, enhance, or discontinue any feature of the Service at any time with reasonable notice to users. We will not materially reduce core features of paid plans without at least 30 days' advance notice.
To access the Service, you must create an account by providing accurate and complete information. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must notify AutoNest immediately at contact@autonest.online if you become aware of any unauthorised use of your account. AutoNest shall not be liable for any loss resulting from your failure to safeguard your credentials. You may not share login credentials with others outside your authorised team workspace.
Subject to your compliance with these Terms and payment of applicable fees, AutoNest grants you a limited, non-exclusive, non-transferable, revocable licence to access and use the Service solely for your internal business or personal automation purposes during your subscription period. The Service is offered on a subscription basis. Subscription fees, billing cycles, and plan features are described on the pricing page or communicated to you in writing. All fees are stated in Euros (EUR) and are exclusive of applicable taxes unless stated otherwise. Subscriptions are billed in advance and automatically renew unless cancelled before the end of the current billing period.
You are responsible for providing accurate billing information. Failed payments may result in temporary suspension of your account. Refunds are assessed on a case-by-case basis and are not guaranteed for partial periods, except where required by applicable law. AutoNest reserves the right to change pricing with at least 30 days' written notice to active subscribers.
You agree to use the Service only for lawful purposes. You must not use the Service to:
AutoNest reserves the right to suspend or terminate accounts found to be in violation of this section without prior notice.
You retain full ownership of all data, content, and information you submit to the Service ("Your Data"). By using the Service, you grant AutoNest a limited licence to host, process, and transmit Your Data solely as necessary to provide the Service to you. AutoNest does not sell Your Data and does not use it for any purpose other than operating and improving the Service. Our collection and use of personal data is governed by our Privacy Policy.
Where AutoNest processes personal data on your behalf (i.e., you are a data controller and AutoNest acts as your data processor), a Data Processing Agreement (DPA) is available upon request and is required for paid plans under GDPR Article 28.
You are responsible for ensuring that Your Data complies with applicable laws, including obtaining any necessary consents before submitting personal data to the Service.
AutoNest targets 99.9% monthly uptime for the core workflow execution engine on paid plans. Scheduled maintenance windows will be announced with at least 48 hours' advance notice where practicable. Unplanned outages will be communicated via our status page. Uptime calculations exclude events caused by factors outside AutoNest's reasonable control, including force majeure events, third-party infrastructure failures, or actions of third-party services connected to the platform.
Free-tier accounts do not carry uptime guarantees. AutoNest does not guarantee that the Service will be error-free or uninterrupted.
All intellectual property rights in the Service — including the AutoNest name, logo, platform architecture, software code, workflow engine, documentation, and all associated technology — are owned exclusively by AutoNest or its licensors. Nothing in these Terms transfers any ownership right to you. Feedback, suggestions, or ideas you provide regarding the Service may be used by AutoNest without restriction or compensation.
The Service may connect to or integrate with third-party APIs, platforms, and services ("Third-Party Services"). AutoNest is not responsible for the availability, accuracy, security, or terms of Third-Party Services. Your use of any Third-Party Service through AutoNest is subject to that service's own terms and privacy policy. AutoNest does not warrant that integrations with Third-Party Services will remain available, as third parties may change their APIs at any time.
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. AUTONEST DOES NOT WARRANT THAT THE SERVICE WILL MEET YOUR SPECIFIC REQUIREMENTS OR THAT IT WILL BE FREE FROM BUGS, ERRORS, OR INTERRUPTIONS.
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, AUTONEST SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING FROM YOUR USE OF OR INABILITY TO USE THE SERVICE, INCLUDING LOSS OF DATA, LOSS OF PROFITS, OR BUSINESS INTERRUPTION. AUTONEST'S TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING UNDER THESE TERMS SHALL NOT EXCEED THE TOTAL FEES PAID BY YOU TO AUTONEST IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM. NOTHING IN THESE TERMS LIMITS OR EXCLUDES LIABILITY FOR DEATH OR PERSONAL INJURY CAUSED BY AUTONEST'S NEGLIGENCE, OR FOR FRAUD.
You agree to indemnify, defend, and hold harmless AutoNest and its officers, employees, and agents from and against any claims, liabilities, damages, and expenses (including legal costs) arising from: (a) your use of the Service in violation of these Terms; (b) Your Data, including any claim that it infringes third-party rights; or (c) your breach of any applicable law or regulation.
Either party may terminate the subscription at any time. If you cancel, your access continues until the end of the paid billing period. AutoNest may suspend or terminate your account immediately if you breach these Terms, fail to pay fees, or engage in Acceptable Use violations. Upon termination, your licence to use the Service ends and your data will be retained for 30 days before deletion, unless a longer period is required by law. Sections 4, 7, 9, 11, 12, 13, and 15 survive termination.
These Terms are governed by the laws of the Republic of Estonia. Any dispute arising from these Terms or the Service shall be subject to the exclusive jurisdiction of the competent courts of Estonia, unless mandatory EU consumer protection law in your country of residence requires otherwise. EU-based consumers may also refer disputes to the EU Online Dispute Resolution platform at ec.europa.eu/consumers/odr, and in Estonia to the Consumer Disputes Committee at komisjon.ee.
AutoNest may revise these Terms from time to time. For material changes, we will provide at least 30 days' advance notice by email to your registered address or by prominent notice on the Service. Continued use of the Service after the effective date of any revision constitutes your acceptance. The "Last updated" date above indicates the current version.
